Services described on this site

This site describes consulting and workflow-build services offered by Conaway Systems. The site is informational only. Nothing on the site creates a client relationship, binding proposal, warranty, or obligation to provide services. Paid engagements begin only when both parties sign a written statement of work.

User responsibilities

Use the site lawfully. Do not attempt to disrupt the site, misuse the forms, submit malicious code, scrape at unreasonable scale, or send information you do not have permission to share.

Intellectual property

Conaway Systems owns the copy, design, diagrams, code, and other materials on this site unless another owner is clearly identified. You may share links to the site. Do not republish substantial portions of the site or reuse the materials as your own without permission.

Ownership of client work is handled in the applicable statement of work. The intended business posture is that client-specific deliverables transfer according to the signed SOW, while Conaway Systems retains its pre-existing tools, templates, know-how, and site IP.

If a signed SOW conflicts with these website terms on ownership, license scope, delivery, confidentiality, fees, or project-specific obligations, the signed SOW controls for that engagement.

No warranty

This site is provided as-is. We do not warrant that the site will be uninterrupted, error-free, or suitable for any specific business outcome. Any warranty for paid services must be stated in the signed SOW.

Limitation of liability

To the maximum extent permitted by law, Conaway Systems is not liable for indirect, incidental, special, consequential, or punitive damages arising from use of this site. Any liability limits for paid services should be stated in the signed SOW.

For use of this website only, Conaway Systems' total liability is limited to the greater of $100 or the amount you paid directly to Conaway Systems for access to this site. This website limitation does not set the liability cap for a paid consulting engagement; that cap should be handled in the applicable SOW.

Indemnification

You agree not to hold Conaway Systems responsible for claims caused by your unlawful use of the site, misuse of the forms, or submission of information you were not allowed to provide.

This obligation applies only to claims, losses, and expenses that arise from your own site misuse or unauthorized submissions. It does not require you to indemnify Conaway Systems for Conaway Systems' own willful misconduct or for any liability that cannot be limited under applicable law.

Changes to these terms

We may update these terms as the site or business changes. The date at the top of the page reflects the latest update.

Governing law

These terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules.

Before either party files a lawsuit about use of this site, the parties should make a good-faith effort to resolve the issue informally. If a court proceeding is necessary and no signed SOW says otherwise, the proceeding should be brought in the state or federal courts located in Harris County, Texas. These website terms do not require arbitration.
